Anthropic has taken significant steps towards a potential initial public offering by confidentially filing its IPO prospectus with the Securities and Exchange Commission (SEC). This move positions the company, which is making strides in the artificial intelligence sector, to possibly enter the public market once SEC reviews are complete. The company emphasized that the timing of the IPO will largely hinge on market conditions and other pertinent factors.
This filing places Anthropic ahead of its key competitor, OpenAI, which is also preparing a confidential filing. Notably, Elon Musk’s aerospace company, SpaceX, has officially filed its IPO prospectus and is preparing for a roadshow this week, with expectations to debut the following week.
Anthropic’s decision to submit a confidential prospectus allows it flexibility regarding its IPO timeline. By SEC rules, the official prospectus must be distributed to investors at least 15 days prior to the commencement of a roadshow aimed at potential investors. SpaceX previously submitted its confidential filing on April 1 and revealed its public prospectus on May 20.
Founded in 2021 by former OpenAI executives and researchers, Anthropic has quickly established itself in the AI landscape, particularly with its Claude model suite, which supports several applications, including a popular coding assistant called Claude Code. The company has seen remarkable growth in recent months, with its revenue run rate skyrocketing to $47 billion, a striking increase from $10 billion the previous year. In addition, Anthropic recently closed a funding round with a valuation of $965 billion, surpassing OpenAI’s $852 billion valuation reported in late March.
This year, Anthropic garnered attention through the introduction of its Claude Mythos Preview model, which features advanced cybersecurity capabilities. Reportedly, this model has been tested by a select group of companies under the cybersecurity initiative Project Glasswing, and discussions have been underway with senior officials from the Trump administration regarding its applications.
Despite facing challenges, including being blacklisted by the Department of Defense (DOD) earlier in the year due to failed negotiations, Anthropic’s growth trajectory has remained upward. While this DOD action led defense contractors to cut ties with the company, Anthropic has thrived in the private sector, with businesses increasingly adopting its AI models and tools. Following the embargo, Claude also soared to the top of Apple’s chart of U.S. free apps in late February.
In response to its blacklisting, Anthropic launched a lawsuit against the Trump administration, which is still in progress. President Trump suggested in April that a resolution between Anthropic and the DOD could be possible.
To accommodate its rapid growth, Anthropic has secured several significant infrastructure agreements in recent months. Notably, it entered a large-scale agreement with SpaceX to utilize computing resources at its Colossus 1 data center in Memphis, Tennessee. Under the terms, Anthropic will compensate SpaceX $1.25 billion monthly until May 2029, with both parties retaining the right to terminate the agreement with 90 days’ notice.
As Anthropic continues to navigate its path to going public, its substantial market presence and innovative contributions in AI position it as a major player in an industry characterized by rapid advancements and fierce competition.
