Elon Musk Sues OpenAI Over Shift to For-Profit Model, Seeks $150 Billion in Damages

In the summer of 2017, OpenAI unveiled a groundbreaking artificial intelligence system capable of playing the highly competitive video game Defense of the Ancients, commonly known as Dota. The system made headlines when it triumphed over some of the world’s top players in an international tournament held in a packed Seattle stadium, drawing a crowd of over 20,000 spectators. This impressive victory prompted OpenAI’s president, Greg Brockman, to reach out to Elon Musk, who had been financially supporting the organization. Musk’s response was one of enthusiasm, marking the event as a pivotal moment for OpenAI’s future. “Time to make the next step for OpenAI. This is the triggering event,” Musk expressed.

The very next day, Brockman met with Musk, his chief of staff Shivon Zilis, and other associates at a newly acquired property south of Seattle. During the gathering, they initiated discussions about potentially converting OpenAI into a for-profit entity. The significance of this conversation is underscored by a current trial where Musk is embroiled in a legal battle against OpenAI, the creator of ChatGPT. Musk is accusing Brockman and OpenAI’s CEO, Sam Altman, of violating the organization’s founding principles by prioritizing commercial profits over public benefit. He is seeking $150 billion in damages and demanding the dissolution of the for-profit segment OpenAI established last year, along with the removal of Altman from the board.

Musk was one of the original founders of OpenAI, which started as a nonprofit in 2015 alongside Brockman, Altman, and several AI researchers. Following Musk’s departure, the remaining founders formed a for-profit arm of the lab, subsequently attracting substantial investments from companies like Microsoft. Musk contends that these moves represent a departure from the nonprofit’s original mission.

During Brockman’s second day of testimony, he detailed a series of meetings in 2017 where Musk was an active participant in discussions concerning a for-profit shift. One notable instance was a text Brockman shared with Zilis in which he recounted Musk’s assertion that while the nonprofit structure was appropriate initially, it might no longer be feasible. The testimony also included an account from an August meeting where Musk presented Tesla electric cars to the founders as a gesture of goodwill, which was reciprocated with a painting by co-founder Ilya Sutskever.

In this context, Brockman recalled a moment of tension during their discussions. When they conveyed their unwillingness to grant Musk full control over the proposed for-profit venture, he alleged that Musk appeared visibly agitated, prompting fears that he might react aggressively. “When will you be departing OpenAI? I will withhold funding until you decide what you are going to do,” Musk reportedly declared before leaving the room.

The courtroom saw a heated exchange between Musk’s lead counsel, Steven Molo, and Brockman, who defended his understanding of the situation amidst accusations regarding his business acumen. The trial is further complicated by video depositions from OpenAI’s deputy general counsel, Robert Wu, who outlined the 2019 agreement that established the first for-profit model under the “capped profit” framework, which limits returns to investors. Wu confirmed that the nonprofit transferred assets and personnel to this new entity while maintaining a minimal staff of its own.

Furthermore, Wu emphasized that OpenAI’s nonprofit arm would not receive any financial compensation until Microsoft’s contributions exceeded $250 billion, highlighting the intricate financial dynamics at play. As the trial unfolds, it underscores a broader debate about the ethical trajectory of AI development and the responsibilities of technology companies toward the public good, bringing OpenAI’s foundational principles into sharp focus amidst claims of greed and profit motives.
